Vertex, Inc. provides cloud and on-premise tax technology solutions for corporations globally, including tax determination, compliance, and e-invoicing. The company is actively integrating AI into its offerings and operations, exemplified by its Smart Categorization product and the acquisition of AI-first e-invoicing startup Brinta. Vertex serves a diverse client base across industries like retail, manufacturing, and healthcare.

What They Do (Plain English & Analogies)
Vertex is like a highly specialized GPS for businesses navigating the complex world of taxes. Imagine a company selling products or services across many different states or countries. Each place has its own unique tax rules, rates, and reporting requirements, which are constantly changing. Vertex provides the software and services that automatically calculate the correct sales tax, use tax, or value-added tax (VAT) for every single transaction. It also helps businesses file their tax reports and ensures they comply with all the government rules, including the growing trend of electronic invoicing (e-invoicing) where governments want to see invoices in real-time. They essentially take the headache out of tax compliance, allowing businesses to focus on their core operations without worrying about getting tax calculations wrong or missing a filing deadline. They are also increasingly using Artificial Intelligence (AI) to make these processes even faster and more accurate, like automatically categorizing products for tax purposes, which is a huge manual task for many companies.
Very Brief History
Established in 1978, Vertex, Inc. has a long history in tax technology. In recent years, the company has strategically expanded its offerings through acquisitions to address evolving global compliance needs. This includes the acquisition of Ecosio in 2024 to enter the e-invoicing market, an investment in Kintsugi in 2025 to explore AI-driven solutions for smaller businesses, and the acquisition of Brinta in the first quarter of 2026 to enhance its e-invoicing product strategy, particularly in Latin America, and gain AI-native architecture expertise.
"Street Stereotype"
Vertex is generally perceived by investors and analysts as a stable, mission-critical software provider operating in the highly regulated and essential domain of tax and compliance. While historically seen as a steady performer, the company is currently undergoing a significant 'reset to reinvest' strategy. This involves improving its cost structure to boost profitability and cash flow, while simultaneously investing in high-growth areas like e-invoicing and AI. The market is adjusting to management's updated medium-term revenue growth expectations of 'low double digits,' balancing the strong profitability improvements with a more moderated top-line outlook. The focus is on the successful execution of these strategic shifts and the monetization of new AI and e-invoicing offerings.

Customer Sectors & Example Clients
Vertex serves corporations across various sectors including retail, communication, leasing, manufacturing, health care, chemical manufacturing, and fashion and apparel. Specific examples mentioned in the transcript include a large retailer, a major airline (in the SAP ecosystem), a leading social media company (in the Oracle ecosystem), and a company in the health care industry. They also serve a large leading player in the artificial intelligence large language model space.
New Customers / Segments They'Re Targeting
Vertex is actively targeting new customers and segments, particularly those impacted by evolving global compliance mandates. This includes companies needing e-invoicing and compliance solutions, especially in regions like Europe (France, Germany) and Latin America (Mexico, Brazil) where mandates are coming online or are already complex. They are also focused on attracting customers seeking AI-driven solutions to automate manual tax and compliance workflows, such as product categorization and data mapping. Furthermore, they are targeting customers within the SAP and Oracle ecosystems, as well as those looking to migrate their on-premise tax solutions to cloud-based platforms.
Supply Chain And Sourcing Geographies
As a software and services company, Vertex's 'supply chain' primarily involves intellectual capital, software development, and data sourcing rather than physical components. The transcript indicates that the acquisition of Brinta brought a talented technical team based in Latin America, particularly experienced with compliance in countries like Mexico. This suggests a geographic expansion of their technology development and expertise sourcing to regions with complex real-time compliance environments. Beyond this, specific sourcing geographies for software development or data are not explicitly detailed in the provided information.
Sales Geographies And Expansion Plans
Vertex currently sells its products globally, with a strong presence in the United States. The company is actively expanding its sales and operations in response to global e-invoicing mandates. This includes significant focus on Europe, with upcoming mandates in France and Germany expected to drive revenue later in 2026 and 2027, respectively. The acquisition of Brinta has expanded their country coverage in Latin America, particularly in complex real-time compliance environments like Mexico and Brazil. They also cover countries in Asia.
How Key Themes May Help/Hurt
The primary theme 'AI '25: Phase 2 Distribution' presents both opportunities and challenges for Vertex. It may help Vertex by validating its strategy of embedding agentic AI into existing workflows to drive productivity and create tangible products, as seen with 'smart categorization' and internal AI use in customer support. Vertex's strong data assets and embedded position in regulated workflows provide a defensible moat, aligning with the theme's focus on companies with proprietary data and strong distribution. The increasing demand for measurable ROI from AI deployments could benefit Vertex as it demonstrates real-time savings for customers. However, the theme's bear case highlights 'human and process bottlenecks' to AI adoption and the need for 'undeniable ROI proof.' Vertex might face challenges in rapidly scaling the adoption of its new AI-powered features across its diverse customer base and ensuring that the ROI is clearly articulated and realized, especially as enterprises deploy AI agents faster than building governance structures. The 'AI Monetization Gap' and pressure on profitability, despite cost actions, could also be a concern if AI investments don't translate to significant revenue acceleration quickly.

3 Main Long-Term Bull Details

  1. Embedded Mission-Critical Role: Vertex is deeply integrated into the mission-critical, highly regulated tax and compliance workflows of large enterprises, making its services indispensable and creating high switching costs due to the unacceptable operational risk of disruption.
  2. Expanding Global Compliance Opportunity: The accelerating trend of global e-invoicing mandates and continuous compliance requirements, particularly in Europe (France, Germany) and Latin America, presents a significant and growing market opportunity that Vertex is actively addressing through acquisitions and product development.
  3. Strategic AI Integration for Efficiency and New Markets: Vertex is strategically embedding AI into its core products (e.g., smart categorization) and internal operations (customer support) to automate manual tasks, improve efficiency, and unlock new market opportunities, while maintaining the trust and auditability essential in tax and compliance.

3 Main Long-Term Bear Details

  1. Moderated Revenue Growth Expectations: Management has reset its medium-term revenue growth expectations to 'low double digits,' indicating a more conservative outlook compared to previous targets, which could impact investor sentiment regarding long-term top-line acceleration.
  2. Execution Risk in New Growth Areas: While e-invoicing and AI represent significant opportunities, the full revenue ramp from upcoming mandates and the widespread commercialization and adoption of new AI products are still in early stages, posing execution risks in achieving anticipated growth.
  3. Persistent Macroeconomic Headwinds and IT Spending Scrutiny: The company continues to face a 'mixed macro environment and IT spending scrutiny,' which could temper customer buying behavior, delay new deals, and impact expansion opportunities, potentially hindering overall growth.
Competitors And Differentiation
The transcript indicates that Vertex operates in a competitive landscape, noting that 'other competitors of ours have also entered that business [e-invoicing] around the same time' and mentioning a customer switching from a competitor in the healthcare industry. Vertex differentiates itself by being a 'trusted system of record' in mission-critical, highly regulated tax and compliance workflows. Their competitive advantage is built on deeply embedded integrations within customer ERP systems (like SAP and Oracle), broad ecosystem integrations, and long-standing operational data. They emphasize a 'deterministic core' for 100% accurate, explainable, auditable, and repeatable tax answers, contrasting with 'probabilistic black box' AI solutions. Vertex is embedding AI to enhance its platform and automate workflows around the core engine, rather than displacing it, thereby strengthening customer reliance and increasing switching costs due to the operational risk of disruption.
Recent Performance & What The Market'S Focused On
Vertex delivered strong first-quarter 2026 results, with revenue up 11.1% year-over-year to $196.6 million and adjusted EBITDA up 18.4% to $44.1 million, both exceeding guidance. Customer retention and usage patterns remained stable. The company implemented a 'value creation plan' in April, including a 9% workforce reduction and cuts in third-party spending, projected to yield $60 million to $70 million in annual cash savings starting in 2027, net of reinvestments. This led to an increased full-year adjusted EBITDA guidance. The market is currently focused on the company's ability to achieve its 25% cloud revenue growth target for the full year, driven by ramping e-invoicing revenue from new mandates (France, Germany), the successful monetization and adoption of new AI products like 'smart categorization,' and the realization of improved profitability and cash flow from the recent cost actions. The updated medium-term revenue growth expectation of 'low double digits' is also a key area of market attention.

Thesis

Vertex is executing a "reset to reinvest" strategy, leveraging its mission-critical tax and compliance platform to drive enhanced profitability and cash flow by 2027 through decisive cost efficiencies. While near-term revenue growth is moderated to low double digits due to macro factors, strategic investments in high-growth e-invoicing (bolstered by Brinta acquisition and global mandates) and AI-driven workflow automation (e.g., Smart Categorization) are expected to unlock future growth and strengthen its competitive moat in a highly regulated, AI-driven environment. (Updated 2026-07-24)

Bull case

  • The Value Creation Plan, involving a 9% workforce reduction and significant third-party spend cuts, is projected to yield $60M-$70M in annualized cash savings by 2027, net of reinvestments. This decisive action accelerates the achievement of 2028 profitability and free cash flow targets to 2027, demonstrating a strong commitment to shareholder returns and operational efficiency.

  • Vertex's e-invoicing business is experiencing strong growth, with significant revenue ramps anticipated in the latter half of 2026 (France mandates) and 2027 (Germany mandates). The strategic acquisition of Brinta enhances global country coverage, particularly in Latin America, and integrates an AI-native architecture for complex, real-time compliance, positioning Vertex for leadership in this expanding market.

  • Vertex is strategically embedding AI into its core offerings and operations, exemplified by the successful Smart Categorization product, which dramatically reduces SKU classification time from over 1.5 minutes to a few seconds. This AI integration strengthens its "AI moat" in mission-critical, highly regulated tax and compliance workflows, improving customer experience, unlocking new market opportunities by augmenting manual processes, and enhancing internal operating leverage.

Bear case

  • Management has revised its medium-term revenue growth expectation down to low double digits (10-13%) from previous mid-to-high teens. This moderation is attributed to a mixed macro environment and the time required for new growth initiatives, like e-invoicing and AI, to fully mature and contribute significantly to the top line, signaling a slower growth trajectory than previously anticipated.

  • The success of the "reset to reinvest" strategy hinges on effectively allocating freed-up capital into high-impact growth areas such as e-invoicing and the AI roadmap. There is an inherent risk that these reinvestments may not generate the anticipated revenue acceleration or that the execution of new product rollouts and market penetration could be slower than expected, potentially limiting future growth.

  • Achieving the full-year cloud revenue growth target of 25% necessitates a "steep acceleration" in the second half of 2026, primarily driven by the ramping of e-invoicing mandates. Any delays in mandate enactments, slower-than-expected customer adoption of cloud-based e-invoicing, or challenges in migrating existing on-premise customers could impede this crucial growth driver.

More Compelling & Why
Bear. Vertex's forward P/S ratio of approximately 2.54x is notably below the average SaaS EV/Revenue (NTM) of 4.7x, reflecting market skepticism following management's explicit lowering of medium-term revenue growth expectations to low double digits. The strongest bear argument is the significant execution risk in translating strategic investments in e-invoicing and AI into tangible, accelerated revenue growth. My view would flip to bullish if Vertex consistently demonstrates cloud revenue growth exceeding its 25% target and provides clear, quantifiable evidence of new revenue streams from AI product commercialization.

Total Revenue11.1%

As a top-line income statement metric, total revenue indicates overall business performance and the effectiveness of growth strategies, including e-invoicing and AI, in a mixed macro environment.

For Vertex, Inc. (VERX) to rerate higher, Total Revenue needs to hit a year-over-year growth rate of 14% or higher for Q2 2026, significantly exceeding the current Q1 2026 growth of 11.1% and the implied growth from Q2 2026 guidance of $200.0 million to $204.0 million. This would ideally be accompanied by an upward revision of the full-year 2026 revenue guidance (currently $823.5 million to $831.5 million) to reflect a growth rate above the company's moderated medium-term outlook of 10-13%. Such performance would also demonstrate a narrowing gap with the Software - Application industry's average forecast revenue growth rate of 15.94%.

Achieving a Total Revenue growth rate of 14% or higher would signal that Vertex's strategic investments in e-invoicing and AI are accelerating top-line growth beyond current 'low double-digit' expectations. This validates the 'reset to reinvest' thesis, enhances its competitive standing against industry peers, and could drive a higher valuation multiple as investors anticipate a stronger future growth trajectory.

Cloud Revenue20.7%

Cloud revenue growth is critical as it reflects the company's shift to modern platforms, the adoption of new cloud-based e-invoicing solutions, and the foundation for AI-driven features. Acceleration is expected in the back half of 2026.

For Vertex, Inc. (VERX) to rerate higher, its Cloud Revenue growth needs to demonstrate a significant acceleration in Q2 2026, ideally reaching or exceeding 23-24% year-over-year. This would show a clear trajectory towards the company's full-year 2026 guidance of 25% cloud revenue growth, especially given the 20.7% growth reported in Q1 2026. Strong commentary on the ramp-up of e-invoicing mandates and increased adoption of AI products like Smart Categorization would further support a positive rerating.

Accelerating Cloud Revenue growth is critical as it validates Vertex's strategic shift to modern cloud platforms and the successful execution of its e-invoicing and AI initiatives. This demonstrates the company's ability to capitalize on key growth drivers, addressing analyst concerns about cloud growth and reinforcing the investment thesis around its competitive position and future profitability.

Adjusted EBITDA18.4%

This metric is crucial for assessing the impact of Vertex's value creation plan, including workforce reduction and efficiency measures, on profitability and cash flow. Management raised full-year guidance.

For Vertex, Inc. (VERX) to rerate higher, its Adjusted EBITDA margin for Q2 2026 needs to exceed 25%, significantly surpassing the Q1 2026 margin of 22.4% and the upper end of its Q2 guidance of $47 million to $50 million. Additionally, the company would need to revise its full-year 2026 Adjusted EBITDA guidance upwards beyond $208 million, implying a full-year margin of 26% or higher. This would demonstrate accelerated progress towards its long-term 25% target and position Vertex closer to top-tier SaaS profitability (30%+).

Exceeding a 25% Adjusted EBITDA margin and raising full-year guidance would validate Vertex's Value Creation Plan and 'reset to reinvest' strategy. It signals strong execution on cost efficiencies and a clear path to enhanced profitability, attracting premium valuation multiples in the SaaS industry and strengthening its competitive position.

Vertex's e-invoicing business is expected to see revenue ramp later this year after mandates are enacted in France and again in 2027 when mandates in Germany come online. The acquisition of Brinta adds country coverage in Latin America and brings an AI-native architecture built for complex real-time compliance environments. The company believes global compliance is one of its biggest opportunities. Vertex's AI product strategy aims to be transformational, yet pragmatic, with targeted use cases driving measurable impact and responsible governance, ultimately unlocking more addressable market opportunity by augmenting customer workflows. New customers are increasingly coming online as cloud customers, and existing customers are adding cloud instances, indicating a shift towards modern platforms that allow for more value delivery and new feature adoption.A February 2026 study by EY-Parthenon entitled AI's Impact on the Software Economy confirms that deep vertical SaaS, which Vertex squarely fits, is one of the most defensible segments in enterprise software. Vertex's embedded position in the order-to-cash transaction flow means that if tax breaks, companies can't transact, making switching costs high due to unacceptable operational risk at enterprise scale. Half the companies named in CIO Magazine's March 2026 ranking of the most powerful AI companies are using Vertex to calculate indirect tax, which the company believes is a strong validation of its 'AI moat'. A company in the health care industry switched from competition to Vertex for North American sales and use tax. Vertex noted that other competitors have also entered the e-invoicing business around the same time as their acquisition of Ecosio. The investment in Kintsugi was partly to stay close to start-ups coming into the market with AI-driven solutions around tax, noting that these new entrants tend to play at the lower end of the market in less complex scenarios compared to Vertex's operations. The macro environment remains mixed, and IT spending scrutiny persists. A February 2026 study by EY-Parthenon, 'AI's Impact on the Software Economy,' identifies deep vertical SaaS as one of the most defensible segments in enterprise software, characterized by domain-specific workflows, complex integrations, and regulated use cases. The global compliance landscape is moving towards a continuous compliance-oriented posture, particularly outside the U.S., with governments increasingly seeking near real-time access to transaction data to reduce the VAT gap. There is ongoing discussion about whether AI will disrupt enterprise software or strengthen existing platforms, with Vertex's view being that AI strengthens trusted systems of record in regulated environments.Vertex is intentionally reshaping the company for its next chapter, aiming to unlock value in an AI-driven and increasingly real-time regulatory world. Revenue from e-invoicing is expected to ramp later this year after mandates in France and again in 2027 with mandates in Germany. The company anticipates achieving its 2028 profitability and free cash flow targets in 2027, driven by the value creation plan. Vertex expects a low double-digit revenue growth rate for the medium term. The company is moving quickly to embed AI more directly into its products and operations, as well as build new ones, in a way that preserves governed outcomes. Its AI product strategy will be transformational yet pragmatic, focusing on modernizing workflows around core systems to reduce manual effort and increase speed. Cloud revenue growth is projected at 25% for the full year, with acceleration in the back half due to ramping e-invoicing revenue. The company is investing in its AI roadmap and internal transformation to become a more 'AI-first' company, aiming for future efficiencies and unlocking new market opportunities through AI-augmented customer workflows.PhaseThe broader industry is experiencing a significant shift from the initial phase of AI infrastructure build-out to a second phase focused on AI applications and monetization. This transition is driven by the commoditization of foundational models and declining inference costs. The rise of agentic AI, capable of independent task completion, is a key development. There is also a trend towards hybrid deployment strategies, where AI training occurs in the cloud, but inference runs on cost-effective on-premise hardware. Regulatory compliance, such as the EU AI Act, is becoming a critical differentiator, fostering demand for 'AI governance as a service' and creating new market opportunities for compliant solutions.Vertex delivered strong first quarter results. Vertex is at the center of mission-critical, highly regulated workflows that our customers rely upon. Vertex has extraordinary assets, including trusted data, deeply embedded integrations and a unique role in global compliance. Our e-invoicing business continues to perform well in advance of upcoming mandates with very strong growth in both ARR and revenue. AI expands Vertex's competitive advantage. Deep vertical SaaS is one of the most defensible segments in enterprise software. Today, half the companies named in CIO Magazine's March 2026 ranking of the most powerful AI companies are using Vertex to calculate indirect tax. We believe this is a strong validation of our AI moat. Observed categorization time drops from more than 1.5 minutes per product to just a few seconds. Analysts can manage meaningfully higher case volumes with better consistency without sacrificing quality, which has a direct impact on our operating leverage over time. The first quarter results were strong and represent a good start to 2026. We now believe that we will achieve those targets in 2027.The macro environment remains mixed and IT spending scrutiny persists. The outcome was a targeted cost action that included a reduction in force and other efficiency measures. We reduced our workforce by approximately 9%. The business has changed significantly in the past year and revenue growth is now in the low double digits. We believe this is the growth rate investors should underwrite for the medium term. We were looking at growth rates then in the mid-teens and with acceleration opportunity in front of us. I think we've seen that soften a bit in the back half of last year. While we start a little bit lower on cloud revenue growth, which is kind of what we started to see in Q4, we talked about that on the first quarter call as well.Vertex undertook a targeted cost action that included a reduction in force and other efficiency measures, reducing its workforce by approximately 9% on April 28. The company is reinvesting in growth areas, including its e-invoicing and compliance business, where it has been growing staff and technology investments. Vertex is also bringing in new people and adding resources to lean harder into its AI roadmap.
